IonQ to Acquire Cybersecurity Firm Elisity in All-Stock Deal Worth Up to $1.3B

Quantum computing company IonQ $IONQ has agreed to acquire cybersecurity firm Elisity in an all-stock transaction valued at up to $1.3 billion, including as much as $150 million in performance-based payments.
Elisity specializes in network security technology designed to prevent unauthorized activity, ransomware and other cyber threats from spreading laterally across enterprise systems.
The acquisition would expand IonQ's exposure to enterprise cybersecurity, adding capabilities beyond its core quantum computing business. Network segmentation and identity-based access controls are increasingly important as organizations manage complex cloud environments, connected devices and distributed infrastructure.
The transaction's maximum value includes contingent payments, meaning the final consideration may depend on whether specified performance targets are achieved. Because the acquisition is structured as an all-stock deal, existing IonQ shareholders should also consider potential equity dilution.
Investors will be monitoring the transaction's closing conditions, integration plans and expected financial contribution. The acquisition could broaden IonQ's commercial technology portfolio, although the strategic and financial benefits remain dependent on successful execution.
