Meta Evaluates Non-Voting Share Class to Fund Multi-Billion-Dollar AI Capital Expenditures

Meta Platforms ($META) is exploring the creation of a new non-voting share class to raise external capital for its accelerating artificial intelligence infrastructure buildout while preserving CEO Mark Zuckerberg’s voting majority, according to reports citing people familiar with the matter.
The structure mirrors Alphabet’s 2014 restructuring, which introduced non-voting Class C shares alongside super-voting Class B shares. Adopting a third share tier would allow Meta to finance expanding capital expenditures—projected to cover multi-gigawatt data center developments and massive semiconductor procurements—as well as execute stock-based acquisitions and talent compensation without diluting insider voting control.
While the maneuver provides management with financial flexibility without adding debt, the potential issuance introduces governance considerations for public equity investors, specifically regarding earnings-per-share (EPS) dilution and the concentration of executive authority over capital allocation.
