Morgan Stanley Calls $URI Sell-Off a Buying Opportunity Following Caterpillar Dealer Acquisition

Shares of equipment rental companies fell after $CAT announced plans to acquire John Fabick Tractor Company, an independent dealer operating 37 locations across Missouri, Illinois, Wisconsin, and Michigan. The announcement triggered market concerns that Caterpillar intended to expand into direct equipment rental competition, sending $URI down 2.8%, Sunbelt Rentals down 1.5%, and $HRI down 5.0%.
Morgan Stanley analysts Angel Castillo and Stefan Diaz characterized the market reaction as an overreaction, reiterating an Overweight rating and a $1,335 price target on $URI while advising clients to use the dip as a buying opportunity.
The analysts noted that Caterpillar is stepping in temporarily to manage Fabick's ownership transition and ensure operational continuity, rather than pivoting toward direct dealership ownership or rental operations. They highlighted that dealership operating margins—typically ranging between 8% and 13%—remain structurally dilutive to Caterpillar's 17.2% operating margin. Furthermore, they emphasized that growth among smaller players like EquipmentShare is more likely to absorb market share from fragmented local operators than erode the market dominance of tier-one leaders like $URI.
